TERMS OF SERVICE

1. Overview

These Terms of Service ("Terms") govern your access to and use of the BlueBee mobile and web applications, website, and related services (collectively, the "Service"). By creating an account, downloading, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

2. Who may use BlueBee

You must be at least 18 years old and able to enter into a binding contract.

The Service is intended for business use only, primarily by home-service professionals such as cleaning, landscaping, construction, painting, plumbing, electrical and similar trades.

At this time, the Service is offered only to users operating a business in the United States of America.

You represent and warrant that you are using the Service on behalf of a business and not as a consumer for personal, family, or household purposes.

3. Account registration and security

You must create an account to use most features of the Service. You agree to:

Provide accurate, current and complete information during registration;

Keep your login credentials confidential and not share them with others;

Promptly update your account information if it changes;

Notify us immediately of any unauthorized access or use of your account.

You are responsible for all activities that occur under your account.

4. Subscriptions, fees and free trials

BlueBee is offered on a subscription basis, and we may also charge transaction or platform fees on payments processed through the Service.

Current prices, plan features, free-trial periods and per-payment fees are displayed in the app and/or on our website and may change from time to time.

Subscriptions will automatically renew at the end of each billing period unless you cancel at least 24 hours before renewal, or as otherwise required by the platform (e.g. Apple App Store).

If you subscribe through the Apple App Store, Apple is your merchant of record. Billing, refunds, and cancellations are handled under Apple's own terms and policies.

Except where required by law or platform rules, payments are non-refundable.

You are responsible for all taxes associated with your use of the Service, except for taxes based on our income.

Platform Fees

In addition to subscription fees, BlueBee charges a platform fee on successful online payments processed through your invoices:

Free Plan: 3.5% of the transaction amount

Business Plan: 3% of the transaction amount

Scale Plan: 1% of the transaction amount

Platform fees apply only to online payments processed through Stripe. No platform fees apply to payments you manually mark as "paid" (cash, check, bank transfer, etc.).

Platform fees are NON-REFUNDABLE. If you issue a refund to your customer through your Stripe account, you remain responsible for the platform fee on the original transaction. Stripe's processing fees are also non-refundable per Stripe's policies.

Subscription Prices

Business Plan: $9.99/month

Scale Plan: $79.00/month

Prices may change with prior notice. Current pricing is always displayed in the app.

5. Stripe and payment processing

BlueBee integrates with Stripe to enable you to accept online card payments from your clients.

To accept online payments, you must create and maintain your own Stripe account and agree to Stripe's terms of service and privacy policy.

Funds from your client payments are settled directly into your Stripe account, not into BlueBee's bank accounts.

BlueBee does not provide money transmission, banking, or financial services. We only facilitate the connection between your account and Stripe.

Stripe may charge its own processing fees in addition to any BlueBee subscription or platform fees.

BlueBee is not a party to payment disputes between you and your clients and is not responsible for chargebacks, refunds, failed payments, or Stripe's decisions.

BlueBee charges platform fees as described in Section 4. These fees are deducted from payments processed through your connected Stripe account and are separate from Stripe's processing fees.

6. Estimates, invoices, websites and client communications

The Service allows you to create and send:

Estimates and invoices;

SMS and email messages to your clients;

A simple business website page branded with your logo and colors.

Free Business Website

Paid subscription plans (Business and Scale) include a free business website at bluebeeapp.com/[yourbusinessname] that displays your company information and services. The website is automatically updated when you edit your company profile in the app. BlueBee reserves the right to modify or discontinue the free website feature at any time.

You are solely responsible for:

The accuracy, completeness, and legality of all information included in estimates, invoices, messages, and website content;

Any contracts you enter into with your clients (pricing, scope of work, guarantees, etc.);

Complying with all laws that apply to your communications, such as anti-spam, telemarketing, and text-messaging rules (for example, the Telephone Consumer Protection Act – TCPA) and any consent requirements.

BlueBee does not provide legal, tax, or accounting advice and does not guarantee that your documents comply with applicable laws.

7. Usage Limits on Free Plan

The Free Plan includes the following monthly limits:

3 estimates

3 invoices

5 client profiles

3.5% platform fee on paid invoices

Limits reset on the first day of each calendar month. Paid plans (Business and Scale) have no usage limits on estimates, invoices, or clients.

8. SMS Messaging Terms

By providing a phone number when using BlueBee, end users (your clients) may receive SMS messages related to estimates, invoices, and payment notifications sent by you through the Service.

Message types include: estimate notifications, invoice notifications, and payment reminders.

Message frequency varies based on your business activity.

Message and data rates may apply depending on the recipient's mobile carrier and plan.

Recipients can opt out of SMS messages at any time by replying STOP to any message. After opting out, they will no longer receive SMS messages from your business through BlueBee.

Recipients can reply HELP to any message for support information.

BlueBee and the carriers are not liable for delayed or undelivered messages.

By using the SMS features of the Service, you confirm that you have obtained proper consent from your clients to receive SMS messages before sending any communication through BlueBee. You are solely responsible for ensuring compliance with all applicable messaging laws, including the Telephone Consumer Protection Act (TCPA) and any state-level regulations.

9. Your responsibilities and client data

You may enter personal information about your own clients (for example, their names, addresses, contact details and job locations).

You confirm that:

You have obtained all necessary consents, notices, and authorizations from your clients to store and process their data through the Service;

You have a lawful basis for processing that data under applicable privacy laws;

You will not use BlueBee to store or send sensitive data that is not necessary for your service (such as Social Security numbers, full credit-card numbers, or health information).

As between you and BlueBee, you are the controller of your clients' data and responsible for fulfilling any legal obligations you may have towards them.

10. License to use the Service

Subject to these Terms and timely payment of all fees, BlueBee grants you a limited, non-exclusive, non-transferable, revocable license to:

Download and use the mobile app on devices you own or control; and

Access and use the web dashboard and related services solely for your internal business purposes.

We (and our licensors) retain all rights, title and interest in and to the Service, including all software, interfaces, graphics, logos, and other intellectual property.

11. User content

"User Content" means any data, text, images, logos, or other material you upload or enter into the Service (including information about your clients, services, and branding).

You grant BlueBee a worldwide, non-exclusive, royalty-free license to host, store, use, reproduce, modify, display, and process User Content as necessary to provide, maintain, and improve the Service, and as otherwise described in our Privacy Policy.

You represent and warrant that:

You own or have the necessary rights to upload the User Content;

The User Content does not infringe or violate any third-party rights or laws.

12. Acceptable use

You agree not to:

Use the Service for any unlawful, fraudulent, or harmful purpose;

Misrepresent your identity or your relationship with BlueBee;

Upload malware or attempt to interfere with the security or operation of the Service;

Reverse engineer, decompile, or attempt to access the Service's source code (except to the extent such restriction is prohibited by law);

Use the Service to send unsolicited or abusive messages, or to harass or harm others;

Use automated tools (bots, scrapers) to access the Service except via documented APIs we provide.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or pose a risk to us, the Service, or other users.

13. Third-party services

The Service may rely on or link to third-party services, including:

Stripe (payments),

Email and SMS providers,

Analytics and crash-reporting tools,

Cloud hosting providers.

Your use of those services is subject to their separate terms and privacy policies. BlueBee is not responsible for the content, security, or practices of third-party services.

14. Termination

You may stop using the Service at any time and may cancel your subscription through the platform where you purchased it (e.g. Apple App Store account settings).

We may suspend or terminate your access to the Service, or any part of it, if:

You violate these Terms;

You fail to pay applicable fees;

We reasonably believe your use creates a security, legal, or reputational risk.

Upon termination:

Your license to use the Service ends;

If you cancel a paid subscription, your account reverts to the Free Plan at the end of your current billing period. Your data (clients, estimates, invoices) is retained and accessible under Free Plan limits;

If you delete your account through the app, your data will be scheduled for permanent deletion after thirty (30) days. During this period, you may contact us at info@bluebeeapp.com to request account restoration. After 30 days, your data will be permanently deleted and cannot be recovered;

We may also delete or anonymize data of accounts that have been inactive for more than twelve (12) months, subject to legal obligations and our Privacy Policy.

15. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free;

Estimates, invoices, reminders, or messages will always be delivered or read;

Using the Service will result in increased revenue, approvals, or payments.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BLUEBEE, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;

ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES;

ANY DAMAGES EXCEEDING THE GREATER OF (A) THE AMOUNT YOU PAID TO BLUEBEE FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

Some jurisdictions do not allow certain limitations of liability; in that case, these limitations apply only to the extent permitted by law.

17. Indemnification

You agree to indemnify, defend and hold harmless BlueBee and its affiliates, officers, and employees from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service;

Your User Content;

Your relationships and transactions with your clients;

Your violation of these Terms or of any law or third-party rights.

18. Changes to the Service and to these Terms

We may modify or discontinue features of the Service at any time. We may also update these Terms periodically.

If we make material changes, we will notify you by email, in-app notice, or through our website. Your continued use of the Service after the changes become effective constitutes your acceptance of the new Terms.

19. Governing law and dispute resolution

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws principles, and by applicable federal laws of the United States.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Bernalillo County, New Mexico, and you consent to their jurisdiction and venue.

(If you prefer arbitration instead of court, ask a lawyer to draft a proper arbitration clause tailored to your state.)

20. Apple App Store Terms

This section applies to users who download and use the BlueBee app through the Apple App Store.

You acknowledge that these Terms are between you and BlueBee LLC only, and not with Apple, Inc. ("Apple"). BlueBee LLC, not Apple, is solely responsible for the app and its content.

The license granted to you for the app is limited to a non-transferable license to use the app on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

BlueBee LLC, and not Apple, is responsible for providing any maintenance and support services for the app, as described in these Terms.

In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the app.

BlueBee LLC, and not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession and use of the app, including but not limited to product liability claims, any claim that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.

In the event of any third-party claim that the app or your possession and use of the app infringes that third party's intellectual property rights, BlueBee LLC, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

You must comply with applicable third-party terms of agreement when using the app.

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
